Terms of Service

1. Acceptance of Terms

By accessing or using TrueCite (“the Service”), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, do not use the Service.

TrueCite is operated by AI Collective Labs Inc. (“we”, “us”, “our”), a corporation incorporated in Alberta, Canada.

You must be at least 18 years of age and capable of forming a legally binding contract to use TrueCite. If you are using TrueCite on behalf of a company or organization, you represent that you have the authority to bind that entity to these terms.

2. Description of Service

TrueCite is an Answer Engine Optimization (AEO) platform that tracks how often your brand is mentioned in AI-generated answers across multiple AI engines. The Service provides:

• MentionShare scores — the percentage of AI queries where your brand is mentioned
• Engine-by-engine visibility breakdown across ChatGPT, Perplexity, Gemini, Claude, Grok, DeepSeek, and more
• Content fix recommendations — AI-generated FAQ blocks, answer paragraphs, and JSON-LD schema
• Competitive gap analysis, crawler access checks, and schema audits
• Scheduled scans, digests, and Slack alerts

Feature availability varies by plan as described on our pricing page. We reserve the right to modify, add, or remove features at any time with reasonable notice.

3. Accounts and Registration

To use TrueCite, you must create an account. You agree to:

• Provide accurate, complete, and up-to-date information during registration and in your account settings
• Keep your login credentials confidential and not share them with others
• Maintain one account per person — multiple accounts to circumvent plan limits are prohibited
• Notify us immediately at legal@truecite.ai if you suspect unauthorized access to your account

You are responsible for all activity that occurs under your account, whether or not authorized by you.

4. Subscription Plans and Billing

TrueCite offers the following plan tiers: Trial (free), Lite, Starter, Pro, and Enterprise. Paid plans are billed in advance on a monthly or annual basis via Stripe.

• Trial plan: Free with usage limits as described on the pricing page. No credit card required for the free trial.
• Upgrades: Take effect immediately. You are charged a prorated amount for the remainder of your billing cycle.
• Downgrades: Take effect at the end of the current billing period. Access to higher-tier features continues until then.
• Cancellation: You may cancel at any time from your billing settings. Access continues until the end of the paid period — we do not offer prorated refunds for unused time, except as required by applicable law.
• Price changes: We will give at least 30 days' notice before changing subscription prices. Continued use after price changes take effect constitutes acceptance.
• Taxes: Prices shown are exclusive of applicable taxes (GST/HST, VAT, etc.), which will be added at checkout where required.

By subscribing to a paid plan, you authorize AI Collective Labs Inc. to charge your payment method on file via Stripe for the recurring subscription amount.

5. Acceptable Use

You agree to use TrueCite only for lawful purposes. You must NOT:

• Use the Service for any illegal, fraudulent, or unauthorized purpose
• Attempt to reverse engineer, decompile, scrape, or extract source code or proprietary algorithms from the platform
• Use TrueCite or the API to build a competing product or service
• Submit false, misleading, or fabricated brand information or competitor data
• Create multiple accounts to circumvent plan limits or free trial restrictions
• Use the Fix Generator to produce spam, misleading content, or content that violates any applicable laws
• Attempt to overload our infrastructure with excessive automated requests beyond your plan's limits
• Use the Service to track, monitor, or impersonate brands you do not own or have explicit authorization to represent
• Resell or sublicense access to the Service without prior written permission from AI Collective Labs Inc.

6. AI Engine Scanning

TrueCite sends your prompts and brand information to third-party AI engines on your behalf to perform scans. You acknowledge that:

• AI engine results are informational only and reflect the response of the queried AI engine at the time of the scan
• We cannot guarantee that your brand will be mentioned in AI engine responses, or that implementing our content fix recommendations will improve your MentionShare score
• AI engine responses may change at any time due to changes in the underlying AI model, its training data, or usage policies
• Some engines (Microsoft Copilot, Meta AI, Google AI Overviews) are approximated by Claude (Anthropic) rather than queried via live API — these results are labeled as “simulated” and are approximations only, not real-time data from those engines

TrueCite is not responsible for the content of AI engine responses or for any decisions you make based on scan results.

7. Content and Data Ownership

Your data: You retain full ownership of your brand data, business information, prompts, and competitor lists. By using TrueCite, you grant AI Collective Labs Inc. a limited, non-exclusive, worldwide license to process and store your data solely for the purpose of providing the Service.

Generated content: Content blocks (FAQ blocks, answer paragraphs, JSON-LD schemas) generated by the Fix Generator are yours to use, edit, and publish without restriction.

Our intellectual property: TrueCite, the TrueCite logo, the MentionShare methodology, platform design, source code, and all related materials are owned by AI Collective Labs Inc. You may not copy, modify, distribute, or create derivative works from our intellectual property without prior written permission.

Scan results: Aggregated, anonymized scan data may be used to improve our AI models and service quality, with all identifying information removed.

8. Team Members and Multi-Business

Paid plans allow you to invite team members and manage multiple businesses under one account. You acknowledge that:

• The account owner is responsible for all activity by team members, regardless of their assigned role
• Team member access is scoped to the business they are invited to and their assigned role (Admin, Member, or Viewer)
• The number of team seats and business projects is capped per plan as described on the pricing page
• On plan downgrade, team members exceeding the new plan's seat limit will have their access removed after a 7-day grace period

9. Termination

Cancellation by you: You may cancel your account and delete your data at any time from your dashboard Settings → Account. Paid access continues until the end of the billing period; no prorated refund is issued.

Suspension by us: We may suspend or terminate your account without notice if you violate these Terms, engage in fraudulent activity, fail to pay outstanding invoices, or if required by law. We will make reasonable efforts to notify you before suspension except in cases of urgent security or legal necessity.

Effect of termination: Upon termination, your right to access the Service ends immediately. All data associated with your account will be purged within 30 days, except billing records which are retained for legal compliance.

10. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

• The Service will be uninterrupted or error-free (we target 99.9% uptime but do not guarantee a specific SLA)
• AI engine results will be accurate, current, or reflect any particular brand positioning
• Implementing content fix recommendations will increase your MentionShare score or AI engine citations
• The Service will meet your specific business requirements

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AI COLLECTIVE LABS INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

11. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the Province of Alberta, Canada, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any dispute arising from or relating to these Terms or the Service shall be resolved exclusively in the courts located in Calgary, Alberta, Canada. You consent to the personal jurisdiction of those courts.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Continued use of the Service after revised Terms take effect constitutes your acceptance of the changes. If you do not agree, you must stop using the Service before the effective date.
